1. Introduction & Acceptance

Welcome to Wattmonk Technologies Pvt. Ltd. ("Wattmonk", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of:

• Our website at www.wattmonk.com and all associated subdomains (the "Website")
• PlanSetIQ — our AI-powered solar plan set design software
• Solar Agent Hub — our solar workflow automation platform
• WattPay — our AI-powered solar loan processing and QC platform
• All related services, features, content, and applications (collectively, the "Platform")
  

By accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Wattmonk. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

For the purposes of these Terms:

• "Account" means a registered user account on the Wattmonk Platform.
• "Client" or "You" means any individual or entity that accesses or uses the Platform.
• "Content" means all text, data, graphics, images, software, and other materials available on or through the Platform.
• "Deliverables" means plan sets, reports, documents, or other outputs generated through the Platform or Wattmonk's services.
• "PlanSetIQ" means Wattmonk's proprietary AI-powered solar plan set design tool.
• "Solar Agent Hub" means Wattmonk's solar workflow automation and operations management platform.
• "WattPay" means Wattmonk's AI-powered solar loan QC and payment processing acceleration platform.
• "Subscription" means a paid plan providing access to one or more products on the Platform.
• "User Data" means any data, information, or content submitted by you to the Platform.
  

3. Eligibility and Account Registration

3.1 Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Platform under applicable law
• Use the Platform only for lawful business purposes related to the solar energy industry

3.2 Account Registration

Certain features of the Platform require you to register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify Wattmonk immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.3 Account Termination

Wattmonk reserves the right to suspend or terminate any account at its sole discretion if it believes the account holder has violated these Terms, engaged in fraudulent activity, or poses a risk to the Platform or other users.

4. Platform Access and Acceptable Use

4.1 License Grant

Subject to your compliance with these Terms, Wattmonk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes in connection with solar energy projects.

4.2 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Platform or its related systems
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software on the Platform
• Copy, reproduce, distribute, or create derivative works of any Platform content without express written permission
• Use automated tools, bots, scrapers, or crawlers to access or extract data from the Platform
• Transmit any malware, viruses, or harmful code through the Platform
• Impersonate Wattmonk, its employees, or any other person or entity
• Interfere with or disrupt the integrity or performance of the Platform
• Use the Platform to process, store, or transmit information that infringes any third-party intellectual property rights
• Resell, sublicense, or commercially exploit the Platform without Wattmonk's prior written consent

4.3 Platform Availability

Wattmonk will use commercially reasonable efforts to maintain Platform availability. However, we do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Wattmonk shall not be liable for any downtime or service interruptions.

5. PlanSetIQ — Solar Plan Set Design Software

5.1 Description

PlanSetIQ is Wattmonk's AI-powered solar plan set design tool that enables users to generate permit-ready solar plan sets. The platform includes automated design tools, an AI Copilot assistant, AI-driven quality control (QC) checks, and a built-in PDF editor.

5.2 Free Plan Sets

Wattmonk may offer a limited number of free plan sets to new users. Free plan set offers are subject to:

• One offer per user or company account
• Use for legitimate solar installation projects only
• Wattmonk's right to modify or withdraw the free offer at any time

5.3 Plan Set Accuracy

PlanSetIQ generates plan sets based on information provided by you and Wattmonk's proprietary database of AHJ, utility, and NEC requirements. You acknowledge that:

• The accuracy of plan sets depends on the accuracy and completeness of information you provide
• AHJ requirements may change and Wattmonk makes reasonable efforts to keep its database current
• Wattmonk does not guarantee that any plan set will be approved by any AHJ or authority
• You are responsible for reviewing all plan sets before submission

5.4 Engineer-Assist Feature

The Engineer-Assist feature connects users with Wattmonk's design team for additional support. Use of Engineer-Assist is subject to additional fees and Wattmonk's service availability. The Engineer-Assist feature does not constitute PE stamping unless expressly stated.

5.5 AI Copilot

The AI Copilot is an AI-powered assistant designed to help users navigate PlanSetIQ and answer solar design questions. You acknowledge that:

• AI Copilot responses are generated by AI and may not always be accurate or complete
• AI Copilot responses do not constitute professional engineering advice
• You should verify all critical technical information independently before relying on it
  

6. Solar Agent Hub — Workflow Automation Platform

6.1 Description

Solar Agent Hub is Wattmonk's solar operations workspace that enables solar teams to manage workflows, documentation, and tasks in one platform through AI-powered automation agents.

6.2 Workflow Automation

Solar Agent Hub automates defined workflows based on rules and instructions you configure. You acknowledge that:

• Automated workflows operate based on the parameters and instructions you define
• Wattmonk is not responsible for errors resulting from incorrectly configured workflows
• You are responsible for reviewing automated outputs before use in client-facing or regulatory submissions

6.3 Data Handling

All project data, documents, and information processed through Solar Agent Hub remain your property. Wattmonk processes this data solely to provide the service. See our Privacy Policy for full details on data handling.

7. WattPay — Solar Loan QC and Payment Acceleration

7.1 Description

WattPay is Wattmonk's AI-powered platform designed to accelerate solar loan processing by automating QC checks, preparing documents for faster approvals, and reducing back-and-forth between installers and financiers.

7.2 Not a Financial Service

WattPay is a document preparation and QC automation tool. Wattmonk is NOT a lender, financial institution, loan servicer, or financial advisor. WattPay does not:

• Process, fund, or service loans
• Provide financial advice or investment recommendations
• Guarantee loan approval or funding timelines
• Act as an agent or intermediary for any financial institution

7.3 Financier Relationships

WattPay facilitates document preparation and submission workflows between installers and their existing financing partners. All lending decisions, approvals, and funding are solely at the discretion of the applicable financier. Wattmonk is not responsible for any financing decision made by any third party.

7.4 Accuracy of Submissions

You are responsible for ensuring all information submitted through WattPay is accurate, complete, and compliant with applicable lender requirements. Wattmonk is not liable for rejections or delays caused by inaccurate or incomplete submissions.

8. Subscriptions, Billing, and Payments

8.1 Subscription Plans

Access to certain features of the Platform requires a paid Subscription. Subscription plans, pricing, and features are described on the Platform and may be updated from time to time.

8.2 Billing

By subscribing to a paid plan, you authorize Wattmonk to charge your designated payment method on a recurring basis in accordance with your selected plan. You agree to:

• Provide accurate and complete billing information
• Keep your payment method current and valid
• Pay all applicable fees, taxes, and charges

8.3 Free Trials

Wattmonk may offer free trial periods for certain products. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. Wattmonk will notify you before the trial period expires.

8.4 Cancellation

You may cancel your Subscription at any time through your account settings or by contacting Wattmonk support. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the paid period.

8.5 Refunds

All fees are non-refundable except as required by applicable law or as expressly stated in Wattmonk's refund policy. Wattmonk may, at its sole discretion, issue credits or refunds in exceptional circumstances.

8.6 Price Changes

Wattmonk reserves the right to change subscription pricing with thirty (30) days notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

9. Intellectual Property

9.1 Wattmonk IP

The Platform, including all software, algorithms, AI models, databases, designs, trademarks, logos, and content, is the exclusive property of Wattmonk and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights in Wattmonk's intellectual property to you.

9.2 Your Content and Data

You retain ownership of all User Data you submit to the Platform. By submitting User Data, you grant Wattmonk a non-exclusive, worldwide, royalty-free license to use, process, and store your User Data solely to provide the Platform services to you.

9.3 Deliverables Ownership

Upon full payment of applicable fees, Wattmonk assigns to you all rights in the specific Deliverables generated for your projects. Wattmonk retains rights to use anonymized, aggregated data derived from Platform usage to improve its services.

9.4 Feedback

If you provide Wattmonk with feedback, suggestions, or ideas about the Platform, Wattmonk may use such feedback without restriction or compensation to you.

10. User Data and Privacy

Wattmonk's collection and use of your personal information is governed by our Privacy Policy, available at www.wattmonk.com/privacy-policy. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

You are responsible for ensuring that any User Data you submit to the Platform complies with applicable data protection laws and does not infringe the rights of any third party. You warrant that you have all necessary rights and permissions to submit User Data to the Platform.

11. Third-Party Services and Integrations

The Platform may integrate with or link to third-party services, websites, or applications. Wattmonk does not control and is not responsible for the content, practices, or policies of any third-party services. Your use of third-party services is governed by their respective terms and conditions.

Wattmonk may use third-party service providers to deliver certain Platform features. These providers are subject to confidentiality obligations and are only permitted to use your data to provide services to Wattmonk.

12. Disclaimers and Warranties

12.1 Platform Provided As-Is

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WATTMONK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12.2 No Professional Advice

Content and outputs generated by the Platform, including AI Copilot responses and automated recommendations, do not constitute professional engineering, legal, financial, or regulatory advice. You should consult qualified professionals for advice specific to your circumstances.

12.3 No Guarantee of Approvals

Wattmonk does not guarantee that any plan set, permit application, PE stamp, interconnection application, or loan submission prepared through the Platform will be approved by any AHJ, utility, licensing authority, or financial institution. Approval decisions rest solely with the applicable authority.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WATTMONK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF WATTMONK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WATTMONK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO WATTMONK IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, WATTMONK'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Wattmonk and its officers, directors, employees, affiliates, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party rights
• Any inaccurate or incomplete User Data you submit to the Platform
• Any claim by a third party arising from your use of the Platform's outputs
  

15. Modifications to Terms and Platform

15.1 Changes to Terms

Wattmonk reserves the right to modify these Terms at any time. When we make changes, we will update the effective date at the top of this document and notify users by email or prominent notice on the Platform for material changes. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

15.2 Changes to Platform

Wattmonk reserves the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice. Wattmonk shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

16. Termination

16.1 Termination by You

You may terminate your account at any time by contacting Wattmonk support or using the account deletion feature in your account settings. Termination does not entitle you to any refund of prepaid fees.

16.2 Termination by Wattmonk

Wattmonk may suspend or terminate your access to the Platform immediately, without notice, if:

• You breach these Terms or any applicable law
• Wattmonk determines your use poses a security risk or harm to other users
• Wattmonk ceases to operate the Platform or a portion thereof
• Required by law or regulatory authority

16.3 Effect of Termination

Upon termination, your license to use the Platform ceases immediately. Sections 9, 12, 13, 14, 17, and 18 of these Terms shall survive termination. Wattmonk may retain User Data in accordance with its Privacy Policy and applicable law.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute proceedings, you agree to contact Wattmonk at info@wattmonk.com to attempt informal resolution. Wattmonk will make good-faith efforts to resolve the dispute within thirty (30) days of receiving notice.

17.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, as applicable. Arbitration shall be conducted in the State of Delaware. The arbitrator's award shall be final and binding.

17.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17.4 Exceptions

Notwithstanding the above, either Party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent imminent irreparable harm.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 17, the Parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes not subject to arbitration.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy, Service Agreement (where applicable), and any applicable order forms or SOWs, constitute the entire agreement between you and Wattmonk with respect to your use of the Platform.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

19.3 Waiver

Wattmonk's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Wattmonk's prior written consent. Wattmonk may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

19.5 Force Majeure

Wattmonk shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, government actions, pandemics, power outages, or internet disruptions.

19.6 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Wattmonk.

19.7 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
